For purposes of these Terms & Conditions (“Agreement”), references to "CEREMNY LLC, CEREMNY,” or “Party” include the likeness of CEREMNY, as well as all employees, contractors, volunteers, staff, and partners.
By participating in any CEREMNY activities, programs, or services (online, in-person, or otherwise), you indicate your acceptance of and agreement to these Terms and Conditions, as they may be updated or amended from time to time. If you do not agree to all terms, do not participate in CEREMNY activities or use CEREMNY services.
CEREMNY may modify, update, replace, or terminate these Terms, and may change or discontinue programs, benefits, or activities at any time, in whole or in part, without notice or compensation. Such changes may affect your participation, fees, or benefits. Your continued participation after such changes constitutes your acceptance of the revised Terms.
1. Changes to These Terms
Class Packages
- All class packages are non-refundable.
- All class packages are non-transferable and can only be used by the purchaser to book for themselves.
- No freezing is allowed for class packages.
- All memberships renew monthly.
- Our billing processor, Arketa, automatically charges membership fees to your designated payment method on the same day each month.
- There is no activation fee.
- If a payment is declined or returned, you must update your payment method to continue using membership benefits.
- Memberships automatically renew each month unless canceled.
- To cancel or change your membership, please visit your dashboard or email hello@ceremny.com. Cancellation requests are processed within 24 hours (1 business day).
- One pause/freeze per month allowed
- Minimum 7-day freeze
- Maximum 2-week freeze
- 30 days must elapse between pauses.
- Longer freeze due to severe injury/illness must be processed by management
- Memberships do not include special events; however, members may receive discounts on some events.
Inactive or Lapsed Membership
- If your membership becomes inactive for a period of thirty (30) consecutive days or more—meaning your membership is canceled, not renewed, or not on an approved pause/freeze—you will automatically forfeit any promotional, grandfathered, or otherwise discounted membership rate previously in effect. If you choose to rejoin or reactivate your membership after such inactivity, you will be enrolled at the then-current standard membership rate and will be subject to any new membership Terms and Conditions in place at that time.

If you experience pain or discomfort, you agree to modify the activity or rest, and to seek instructor support as needed.
Consult a physician before starting any exercise routine.
You agree to indemnify and hold harmless CEREMNY from any claims arising out of your participation, whether caused by negligence or otherwise.

3.1 Assumption of Risk & Liability Waiver

Consult a physician before starting any exercise routine.
- Release & Indemnification
You agree to indemnify and hold harmless CEREMNY from any claims arising out of your participation, whether caused by negligence or otherwise.
Disclaimer
- CEREMNY is not liable for injuries sustained during yoga practices, workouts, trainings, workshops, retreats, in-person events, or online streaming.
3. Physical movement practices
Nature of Coaching
- Coaching is not a substitute for professional psychological, psychiatric, or medical advice, diagnosis, or treatment.
- Always seek the advice of licensed healthcare providers for any personal or mental health issues.
- CEREMNY is not liable for any personal, professional, emotional, or spiritual decisions you make as a result of coaching, trainings, or retreats.
- Coaching packages are non-refundable and non-transferable.
- Cancellations made within 24 hours of a session will be charged in full.
- Rescheduling requests made more than 24 hours in advance will be accommodated if possible and must occur within 7 days of the originally scheduled session.
- CEREMNY may terminate the coaching relationship at any time, for any reason.
4. Disclosure for Coaching/Personal Development
Use of Likeness
- You may be photographed or recorded while participating in any CEREMNY activities (in-person or digital). You grant CEREMNY the right to use your image, voice, or likeness for commercial, marketing, promotional or educational purposes without compensation or recognition.
- You allow CEREMNY to alter photographs or videos for legitimate commercial, marketing, promotional or educational use.
- CEREMNY will not sell or use your images in a manner that exploits or maliciously represents you or your associates.
5. Photo & Media Release
Health & Safety
- You agree not to attend in-person events if you exhibit COVID-19 (or flu like symptoms in general) symptoms or were recently exposed to someone with COVID-19.
- You acknowledge that participating in in-person activities carries the risk of COVID-19 exposure, and you accept full responsibility for any resulting consequences.
6. COVID-19 & Other Disease Considerations/Acknowledgment
Travel Insurance
- Travel insurance is strongly recommended for non-virtual retreats. “Cancel for any reason” insurance typically provides the widest coverage.
- CEREMNY and its representatives are not liable for delays, expenses, or losses caused by events beyond our control (e.g., late flights, weather, acts of God, pandemics).
- No refunds will be given for cancellations, no-shows, partial attendance, or other events outside CEREMNY’s control.
7. Travel Insurance & Travel Disclaimer
Financing
For custom payment plans (between CEREMNY and client):
- You are solely responsible for repaying the financed amount. No refunds are available for financed programs, including previously made payments towards financed programs, tuition, etc.
For custom payment plans (between CEREMNY and client):
- Deposits are always non-refundable.
- 60–30 days before the start date of any program, retreat, engagement, etc: 50% refund of funds paid (excluding deposit).
- Within 30 days before the start date of any program, retreat, engagement, etc: No refund will be given.
8. Payment Plans
Classes & Events
- No refunds for in-person, online, livestream, or recorded classes, events, or memberships.
- No-show fee for missing a class is $22 for re-occurring memberships and results in loss of class for non-members.
- Late cancellation window is within 10 hours of class start time and incurs a $16 fee.
- 60+ Days Prior: Full refund of tuition paid, less the non-refundable deposit.
- 30–60 Days Prior: 50% refund of the balance (excluding deposit) if paid in full; if on a payment plan, you owe 50% of the retreat cost, plus deposit.
- 0–30 Days Prior: No refund. You are still responsible for 100% of the balance if on a payment plan.
- All deposits are non-refundable; no transfers to other retreats or dates are allowed.
- If you are enrolling in CEREMNY’s services in California and your membership is subject to the California Health Studio Services Act (Cal. Civ. Code §§ 1812.80–1812.98), you have a statutory right to cancel this Agreement within five (5) business days from the date you sign or otherwise agree to these Terms, excluding Sundays and holidays.
- You must notify CEREMNY in writing before the 5-business-day period expires. To cancel:
- Send an email with a clear statement of cancellation to hello@ceremny.com
- If you cancel under this section within 5 business days, CEREMNY will refund all amounts paid under your membership (unless otherwise permitted by law to retain a small administrative fee—confirm with counsel if applicable). Refunds will be processed within 30 days of our receipt of your cancellation notice.
- This 5-Day Cooling-Off Period is in addition to any other cancellation rights or policies stated in these Terms. If you do not exercise your right to cancel within this period, your membership and billing remain subject to the 30-day notice requirement (or any other relevant cancellation terms) thereafter.
- Under California law, you may also have additional rights to cancel in cases of disability, relocation, or if CEREMNY closes a facility you primarily use. Please contact hello@ceremny.com for more information if these situations apply.
9. Refund & Cancellation Policy
Programs & Services
- Digital programs and services are fulfilled on the date(s) posted on their respective web pages.
- Physical products typically ship within 5 business days, unless otherwise noted.
10. Fulfillment & Shipping Policy
Your privacy is important to us. By using ceremny.com, ashleyshubert.com, sutrapro.com/ashleyshubert, or any affiliated platform, you agree to CEREMNY’s Privacy Policy, which covers:
- Collection of Information: Personal information you provide (e.g., name, address, billing info) and info automatically collected via cookies or server logs.
- Use of Information: To operate the site, provide services, and communicate offers or updates.
- No Sale of Data: We do not sell your personal information to third parties.
- Children Under 13: We do not knowingly collect data from children under 13 without parental consent.
- Opt-Out: To stop receiving communications, email hello@ceremny.com.
- Security: We employ physical and technical measures to safeguard personal data.
- Changes: Any updates to our Privacy Policy will be posted on our website, and continued use of the website signifies your acceptance of these changes.
11. Privacy Policy
Governing Law
- These Terms and any related disputes are governed by the laws of the State of California, without regard to conflict-of-laws principles.
- You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of CEREMNY services shall be resolved by confidential arbitration in the California, unless otherwise specified by law.
- If you have violated or threatened to violate CEREMNY’s intellectual property rights, CEREMNY may seek injunctive or other appropriate relief in any court of competent jurisdiction, and you consent to exclusive jurisdiction in such courts.
- You agree to resolve disputes on an individual basis and waive any right to participate in a class or collective action.
12. Dispute Resolution & Governing Law
Disclaimer of Warranties
- CEREMNY services, classes, coaching, and products are provided “as is” and “as available”. We make no warranties of any kind, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement.
- To the fullest extent permitted by law, CEREMNY will not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of our services.
- In no event shall CEREMNY’s total liability exceed the amounts you paid to CEREMNY in the six (6) months preceding the event giving rise to the claim.
13. Disclaimer of Warranties & Limitation of Liability
Ownership of Content
- All content (including but not limited to text, graphics, logos, images, videos, and software) made available through CEREMNY is the exclusive property of CEREMNY or its licensors.
- You receive a personal, non-exclusive, non-transferable, revocable license to access and use our materials for your individual, non-commercial purposes.
- Any copying, reproduction, modification, or distribution of our content without written permission is strictly prohibited.
14. Intellectual Property Rights
Legal Age
- You must be at least 18 years old to purchase memberships, attend retreats, or enter coaching packages without a parent or guardian.
- If minors are allowed to participate in yoga or other activities, their parent or guardian must read and agree to these Terms on their behalf.
15. Age Restrictions
Entire Agreement
- These Terms, together with our Privacy Policy and any other legal notices published by CEREMNY, form the entire agreement between you and CEREMNY regarding your participation in our services.
- If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
16. Entire Agreement & Severability
If CEREMNY provides any user-generated content platforms (e.g., forums, chats, online groups), you agree:
- Prohibited Conduct: Not to upload or post illegal, harmful, or offensive content (e.g., hate speech, spam, harassment).
- Enforcement: CEREMNY may remove content or suspend users who violate these Terms.
17. User Conduct
By reading, signing, clicking “I Agree,” or otherwise acknowledging these Terms, you confirm that:
- You have read and understood these Terms in their entirety.
- You accept and agree to be bound by these Terms.
- You acknowledge that this Agreement is a legally binding contract and a release of liability executed of your own free will.
18. Acceptance & Agreement
CEREMNY is not responsible for lost, stolen, or damaged personal belongings brought to any in-person event, retreat, or activity.
19. Property Disclaimer
CEREMNY may link or refer you to third-party services, vendors, or websites. We have no control over these third parties and are not responsible for their actions, products, or content.
20. Third-Party Services
CEREMNY strives to provide uninterrupted access to online classes and digital materials; however, technical issues or maintenance may occasionally disrupt service. CEREMNY is not liable for any such interruptions or disruptions.
21. Technology & Service Availability
Except where prohibited by law, you agree to indemnify, defend, and hold harmless CEREMNY and its agents from all claims, damages, or expenses arising from your breach of these Terms or misuse of our services, unless caused by CEREMNY’s willful misconduct or gross negligence.
